These Terms and Conditions are entered into between you and Talent Ray FZ-LLC, a Free Zone Limited Liability Company registered in Dubai Internet City (TECOM), Premises No. HD49A, First Floor, in5 Tech, Dubai, United Arab Emirates (“Talent-Ray”, “we”, “us”).
Welcome to Talent-Ray. By accessing or using our HR evaluation platform (“Platform”), you agree to comply with and be bound by the following Terms and Conditions (“Terms”). If you do not agree with these Terms, please do not use our Platform.
1. Acceptance of Terms
By accessing or using the Platform, you confirm that you are at least 18 years old or have the legal authorization to participate in employment assessments. Your continued use of the Platform constitutes your agreement to these Terms.
2. Service Description
Talent-Ray provides an AI-powered HR evaluation platform that includes:
- Candidate assessments and skill evaluations
- Client-side anti-cheat monitoring during tests
- CV/Resume parsing and analysis
- AI-powered candidate scoring and ranking
- Employer dashboard and reporting tools
3. User Accounts
3.1 Account Creation
If you create an account on our Platform, you are responsible for:
- Providing accurate and complete information
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
3.2 Account Security
You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use the Platform only for lawful purposes. Prohibited uses include:
- Cheating or attempting to circumvent proctoring measures
- Providing false or misleading information
- Attempting to gain unauthorized access to the Platform
- Introducing harmful software or code
- Misrepresenting your identity
- Using automated tools to access the Platform (except authorized integrations)
- Sharing assessment content with third parties
5. Assessment Integrity
5.1 Anti-Cheating Measures
Our Platform uses various measures to ensure assessment integrity:
- Client-side cheat-detection snapshots, captured only when our in-browser monitor flags suspicious behaviour during a test (retained on our servers for 30 days)
- Browser tab/window switching detection
- Activity and timing monitoring
We do not record video of you and we do not process biometric data such as facial geometry or face recognition.
5.2 Consequences of Violations
Detected cheating or policy violations may result in:
- Assessment invalidation
- Account suspension or termination
- Reporting to the hiring organization
6. Intellectual Property
All content on the Platform, including but not limited to:
- Assessment questions and materials
- Software and algorithms
- User interface designs
- Logos and branding
is the property of Talent-Ray or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or modify any content without prior written consent.
7. Data Processing
7.1 Personal Data
Your personal data is processed in accordance with our Privacy Policy. By using the Platform, you acknowledge and consent to such processing.
7.2 Assessment Results
Assessment results belong to both the candidate and the hiring organization. Results may be:
- Shared with employers who invited you to the assessment
- Used to improve our AI algorithms (in anonymized form)
- Retained according to our data retention policy
8. AI-Powered Features
8.1 Nature of AI Recommendations
Our Platform uses artificial intelligence to:
- Evaluate assessment responses
- Generate candidate scores
- Parse and analyze resumes
- Provide hiring recommendations
Important: AI-generated results are recommendations only. Final hiring decisions are made by human recruiters.
8.2 Right to Contest
You have the right to contest AI-generated assessments. Contact the hiring organization or [email protected] for assistance.
9. Disclaimer of Warranties
The Platform and its content are provided “as is” without warranties of any kind, either express or implied. We do not guarantee:
- Error-free operation
- Uninterrupted availability
- Accuracy of AI-generated assessments
- Specific employment outcomes
10. Limitation of Liability
To the fullest extent permitted by law, Talent-Ray shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of employment opportunities
- Damages arising from assessment results
- Technical failures or data loss
Our total liability shall not exceed the amount paid by you, if any, to Talent-Ray.
11. Indemnification
You agree to indemnify and hold harmless Talent-Ray from any claims, damages, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
12. Third-Party Services
The Platform may integrate with third-party services (e.g., AI providers, ATS systems). Your use of such integrations is subject to the respective third-party terms.
13. Termination
13.1 By You
You may terminate your account at any time through your account settings or by contacting us.
13.2 By Us
We reserve the right to suspend or terminate your access at our sole discretion if you violate these Terms.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, including the regulations of the Dubai Development Authority (TECOM) governing entities licensed in Dubai Internet City.
The following overlays apply automatically where the user is located in:
- European Union / EEA: the data protection provisions of the EU General Data Protection Regulation (GDPR)
- United Kingdom: the UK GDPR and Data Protection Act 2018
- Republic of Türkiye: Law No. 6698 on the Protection of Personal Data (KVKK)
These overlays apply only to data protection rights of users located in those jurisdictions and do not change the governing law of these Terms as a whole.
15. Dispute Resolution
Subject to the data protection rights described in our Privacy Policy, any dispute, controversy or claim arising out of or relating to these Terms shall be resolved as follows:
- Good faith negotiation between the parties
- Mediation, if negotiation fails
- Final resolution by the Courts of Dubai, United Arab Emirates, which shall have exclusive jurisdiction
For business customers (subscribers), the parties may agree in a separate written contract to resolve disputes through arbitration administered by the DIFC-LCIA Arbitration Centre, seated in DIFC, Dubai, with proceedings conducted in English.
16. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be:
- Posted on this page with an updated effective date
- Communicated via email for significant changes
Your continued use after changes constitutes acceptance.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
